Jane Innes

Jane is a corporate tax lawyer. She started her career as a barrister before qualifying as a chartered tax adviser at KPMG, London. Jane then qualified as a solicitor and in 2004 became a tax partner at Campbell Hooper (later merging with Speechly Bircham LLP).

During her career Jane has advised on a wide range of corporate transactions, employee incentive schemes, property transactions and general commercial matters – examples below. Jane is very well regarded and not just because of the depth of her expertise. She is commercially astute, pragmatic and a pleasure to work with.

Corporate Support

  • Advising founding family on the £265 million take-private of a PLC, including obtaining a clearance for the founder shareholder despite counsel’s advice that clearance would not be obtained.
  • Advising a PLC on restructuring its joint venture with another PLC to achieve consortium relief for the parties, structuring its offshore mezzanine finance to avoid withholding tax issues, and providing general advice on acquisitions and property structures.
  • Assisting the accountant advising on the MBO of a tour operator business. Subsequently advised on incentive arrangements and general corporate tax advice. Ultimately instructed to structure the £27.5 million sale of the group to Tui plc.
  • Advising a US business on the structuring of its £50 million acquisition of a healthcare company.
  • Advising an employment business on the PAYE position of providing locums to the medical sector using an offshore provider and subsequent advice on changes in regime for workers providing services through private service companies to the public sector.
  • Advising an Italian distributor on the UK VAT status of their “smoothie” product to be launched in the UK.

Employee Incentives

  • Advising on the structure, implementation and operation of various share scheme arrangements. Assisting in the implementation of such schemes in the process of an exit.
  • Taking over a long running tax investigation into the status of drivers of cement mixers on Crossrail. Resetting tone of investigation and finally agreeing drivers self-employed status with HMRC.
  • Advising the UK group of a Swedish listed company, on the tax position of various secondees to the UK.

Property Support

  • Advising an offshore investor on the availability of contribution allowances on a refit to be carried out by an anchor tenant, being a bank.
  • Advising on numerous golden brick VAT arrangements, as well as a variety of VAT and SDLT arrangements and schemes.
  • Advising a charity on an exchange of their current premises for newly constructed premises with a Developer. Advising on VAT and SDLT of the developer and charity as well as charity tax issues.
  • Advising on a variety of SDLT issues particularly on residential property.
